Terms and Conditions

Rent Pilot is a digital property management platform designed to help property owners, landlords, property managers, and tenants manage rental-property-related activities electronically.

Depending on the applicable subscription plan, Rent Pilot may provide services including:

• Property and portfolio management
• Tenant management
• Rent and payment tracking
• Lease and tenancy management
• Maintenance request management
• Property records and documentation
• Notifications and reminders
• Property reporting and analytics
• Utility-related payment services
• Other property management and technology services introduced from time to time

Rent Pilot is a technology platform and does not itself act as a landlord, property owner, estate agent, utility provider, bank, payment institution, or financial institution.

You must provide accurate and complete information when creating an account or using the Platform.

By using Rent Pilot, you confirm that:

• You are legally capable of entering into an agreement;
• The information you provide is accurate and current;
• You will maintain the confidentiality of your login credentials;
• You will use the Platform only for lawful purposes; and
• You will comply with all applicable laws and regulations.

Where an account is created on behalf of an organisation, the person creating the account represents that they have authority to act on behalf of that organisation.

Certain features require you to create an account.

You are responsible for:

• Providing accurate registration information;
• Maintaining the confidentiality of your login credentials;
• Securing access to your account;
• Not sharing your account credentials with unauthorised persons; and
• Immediately notifying us if you suspect unauthorised access.

Zenith Innovation will not be responsible for losses resulting from your failure to adequately protect your account credentials, except where such loss results from our negligence or other circumstances for which we are legally responsible.

Certain Rent Pilot features are available through paid subscription plans.

Subscription prices, features, billing periods, and applicable taxes will be displayed on the Platform or communicated to the customer before purchase.

By subscribing to a paid plan, you authorise the applicable payment provider to process the amount associated with your selected subscription.

Subscription access will generally begin after successful confirmation of payment.

We reserve the right to modify our subscription plans, features, or prices. Where a change materially affects an existing paid subscription, we will provide reasonable notice where required.

Payments made through Rent Pilot may be processed using third-party payment service providers, including Flutterwave and other payment providers that we may integrate into the Platform.

We do not directly store your complete card details where payment processing is handled by the relevant payment provider.

Payment transactions are subject to the terms, security procedures, and applicable policies of the relevant payment provider.

A payment is considered successfully completed when we receive appropriate confirmation from the applicable payment processor.

Where utility payment functionality is available, Rent Pilot may allow tenants or other authorised users to initiate payments for supported utility or property-related services.

The availability of a particular utility service depends on the relevant service provider and our integration arrangements.

Zenith Innovation provides the technology through which eligible utility payments may be initiated. Unless expressly stated otherwise, Zenith Innovation is not the underlying provider of the utility service.

Users are responsible for providing accurate information when initiating a utility payment.

Zenith Innovation is not responsible for errors caused by incorrect information supplied by a user.

Where a utility payment fails, is reversed, or cannot be fulfilled, the applicable refund or resolution process will be handled in accordance with our Refund Policy and the applicable service-provider/payment-provider procedures.

Property owners and property managers are responsible for ensuring that property, tenant, lease, rent, and other information uploaded to Rent Pilot is accurate and that they have the necessary rights and permissions to provide such information.

Zenith Innovation does not independently verify the ownership, tenancy status, rental terms, or legal status of properties listed on the Platform.

Rent Pilot is a management and record-keeping platform and does not replace professional legal, accounting, property, or financial advice.

Users must not use Rent Pilot to:

• Upload fraudulent or misleading information;
• Impersonate another person;
• Access another user's account without authorisation;
• Conduct illegal transactions;
• Harass or threaten other users;
• Upload malicious software;
• Attempt to compromise the security of the Platform;
• Circumvent subscription restrictions;
• Abuse payment functionality; or
• Use the Platform for any unlawful purpose.

Rent Pilot may allow tenants to submit maintenance requests to property owners or property managers.

Zenith Innovation provides the technology for submitting and managing such requests but does not itself guarantee that a maintenance request will be accepted, investigated, or resolved.

Responsibility for responding to and resolving maintenance issues remains with the relevant property owner, landlord, property manager, contractor, or service provider.

Rent Pilot may integrate with third-party services, including payment processors, utility providers, communication providers, mapping services, cloud infrastructure providers, and other technology providers.

Third-party services may have their own terms and privacy policies.

Zenith Innovation is not responsible for the independent operation, availability, or policies of third-party services, except to the extent required by applicable law.

All intellectual property rights relating to Rent Pilot, including its software, design, branding, logos, interfaces, databases, content, and underlying technology, belong to Zenith Innovation Limited or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable right to use the Platform for its intended purpose.

You may not:

• Copy or reproduce the Platform;
• Reverse engineer the software;
• Modify or create derivative works;
• Sell, sublicense, or redistribute the Platform;
• Attempt to obtain unauthorised access to the Platform; or
• Use Zenith Innovation's intellectual property without written permission.

We aim to keep Rent Pilot available and reliable but do not guarantee uninterrupted or error-free access.

The Platform may occasionally be unavailable due to:

• Scheduled maintenance;
• System upgrades;
• Technical failures;
• Internet or telecommunications disruptions;
• Third-party service failures;
• Security incidents; or
• Circumstances beyond our reasonable control.

We will make reasonable efforts to restore affected services as soon as practicable.

We may suspend or terminate an account where:

• These Terms have been violated;
• Fraudulent or suspicious activity is detected;
• The account is being used for an unlawful purpose;
• Payment obligations remain outstanding;
• The Platform is being abused; or
• Suspension is necessary to protect users, our systems, or third parties.

Users may discontinue use of the Platform at any time, subject to any applicable subscription terms.

To the extent permitted by applicable law, Zenith Innovation will not be liable for indirect, incidental, special, or consequential losses arising from the use of the Platform.

We are not responsible for losses resulting from:

• Incorrect information supplied by users;
• Unauthorised access caused by compromised user credentials;
• Third-party service interruptions;
• Utility-provider failures;
• Payment-provider failures;
• Internet or telecommunications failures; or
• Events outside our reasonable control.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

You agree to indemnify and hold Zenith Innovation Limited, its officers, employees, contractors, and affiliates harmless from claims, losses, liabilities, and expenses arising from your unlawful use of the Platform, violation of these Terms, or infringement of another person's rights.

We may update these Terms from time to time.

Updated Terms will be published on the Platform with a revised "Last Updated" date.

Your continued use of Rent Pilot after changes have been published constitutes acceptance of the updated Terms.

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

Any dispute arising from these Terms shall be subject to the jurisdiction of the appropriate courts of Nigeria.
